Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "Merchant") and NoteKar Technologies ("Company", "we", "us"), a technology company registered in India. These Terms apply to all users of NoteKar's WhatsApp-based accounting platform and related web services.

2. Service Description

NoteKar provides:

• A voice-first, AI-powered accounting assistant accessible via WhatsApp Business API.
• Automated transcription and parsing of voice notes in Hindi, English, and common Hinglish expressions.
• A digital ledger for sales, purchases, cash, UPI, and credit (udhari) transactions.
• Automated daily business summaries, PDF/Excel reports, and stock ledger management.
• Tools to generate payment reminder messages and UPI QR codes (sent by you manually via WhatsApp deep links).
• An ERPNext web console for Advance plan subscribers.

NoteKar is a business productivity tool, not a banking service, payment gateway, or financial advisor. Accounting records maintained via NoteKar are for your internal bookkeeping and do not constitute official financial statements for legal or regulatory purposes unless independently audited.

3. Eligibility

To use NoteKar, you must:

• Be at least 18 years of age.
• Be operating a legitimate business, trade, or commerce activity in India.
• Own or have authority over the WhatsApp number used to register.
• Have a valid mobile number registered with an Indian telecom provider.
• Agree to these Terms on behalf of yourself or, if a business entity, have authority to bind that entity.

4. Your Account & Responsibilities

4.1 Account Security

Your NoteKar account is tied to your WhatsApp number. You are responsible for all activities conducted through your account. You must:

• Keep your WhatsApp account secure and not share access with unauthorized persons.
• Immediately notify us if you suspect unauthorized use of your account.
• Ensure that staff members added to your Advance plan account use their credentials responsibly.

4.2 Accurate Information

You agree to provide accurate, current, and complete business information during registration. Providing false information may result in immediate termination of your account.

4.3 Customer Data Responsibility

When you add your customers' names and phone numbers to NoteKar for credit tracking, you warrant that you have the legal right to store and use this information for business purposes, and that your customers have been informed of such storage as required under applicable law.

5. Acceptable Use Policy

You agree NOT to use NoteKar for:

• Illegal activities, fraud, money laundering, or tax evasion.
• Harassment of your customers through unsolicited messages.
• Spamming — sending bulk promotional messages that your customers have not consented to receive.
• Recording transactions for fictitious or dummy businesses.
• Reverse engineering, scraping, or attempting to access our systems beyond your authorized scope.
• Sharing your account credentials with persons outside your business team.
• Uploading malicious files or content designed to harm our systems.

6. Subscription & Billing

6.1 Plans & Pricing

NoteKar offers three subscription tiers:

• Basic Plan: ₹149/month (or ₹1,432/year with 20% discount)
• Moderate Plan: ₹349/month (or ₹3,350/year with 20% discount)
• Advance Plan: ₹999/month (or ₹9,590/year with 20% discount)

All prices are inclusive of applicable GST (18%). Prices are subject to change with 30 days' notice.

6.2 Free Trial

New users may access a 7-day free trial of the Moderate plan. No payment information is required to start the trial. If you choose not to subscribe at the end of the trial, your account will be automatically downgraded to read-only mode. Your existing data is retained for 90 days.

6.3 Billing Cycle

Subscriptions are billed at the start of each billing period (monthly or annually). Payments are processed through our authorized payment gateway partner (Razorpay). We do not store your card or UPI credentials.

6.4 Failed Payments

If a payment fails, we will notify you via WhatsApp and retry the payment once after 3 days. If the second attempt also fails, your account will be suspended until payment is made. Your data will not be deleted during the suspension period (up to 60 days).

6.5 Upgrades & Downgrades

You may upgrade your plan at any time. The price difference will be prorated for the remaining billing cycle. Downgrades take effect at the end of the current billing period.

7. Intellectual Property

7.1 NoteKar IP

All software, AI models, user interface designs, brand assets (including the Noteकर logo and name), marketing content, and documentation are the intellectual property of NoteKar Technologies. You may not copy, reproduce, distribute, or create derivative works without our written consent.

7.2 Your Business Data

All accounting records, customer data, and business information you input into NoteKar remain your property. NoteKar claims no ownership over your business data. You may export your data at any time in CSV or Excel format.

7.3 Feedback

Any feedback, suggestions, or feature requests you provide to NoteKar may be used by us to improve the service without any obligation to compensate you, unless explicitly agreed otherwise in writing.

8. Data Accuracy & AI Limitations

You acknowledge and agree that:

• The AI confirmation message sent after every voice note is your primary tool to review and catch errors before they are logged.
• You are responsible for reviewing AI-generated entries and correcting any inaccuracies using the built-in correction feature.
• NoteKar is not liable for business losses arising from undetected AI transcription errors that you failed to correct after reviewing the confirmation message.
• Report entries are generated based on the data you have logged. Their accuracy depends on the accuracy and completeness of your input.

9. Service Availability & Maintenance

We strive for 99.5% monthly uptime. However:

• Planned maintenance windows (typically Sunday 2:00 AM–4:00 AM IST) may cause brief service interruptions. These will be announced 24 hours in advance via WhatsApp.
• Service availability is also dependent on WhatsApp's Business API uptime, which is outside our control.
• We do not guarantee uninterrupted service and are not liable for losses caused by service interruptions beyond our reasonable control (force majeure).

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• NoteKar's total liability to you for any claim arising out of your use of the service shall not exceed the amount you paid to NoteKar in the 3 months immediately preceding the claim.
• We are not liable for indirect, incidental, punitive, or consequential damages, including lost profits, business interruption, or data loss.
• We are not responsible for the accuracy or legality of the accounting records you create, or for any tax, GST, or regulatory compliance obligation arising from your business activities.

11. Termination

11.1 By You

You may cancel your NoteKar subscription at any time by WhatsApp messaging us "CANCEL". Your access will continue until the end of the current paid billing period. Refer to our Refund Policy for applicable refund terms.

11.2 By NoteKar

We reserve the right to suspend or permanently terminate your account for:

• Violation of the Acceptable Use Policy.
• Failure to pay subscription fees after a 60-day grace period.
• Providing false registration information.
• Any activity that puts our platform, users, or reputation at risk.

Where possible, we will provide 14 days' notice before termination and an opportunity to remedy the violation, except in cases of serious or criminal misuse.

11.3 Effect of Termination

Upon termination, your access to the platform will cease. Your accounting data will be held in our systems for 90 days post-termination, during which you may request an export. After 90 days, all data will be permanently deleted, subject to statutory retention requirements under GST and income tax law.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, please contact our support team at [email protected]. Most disputes are resolved within 14 business days.

12.2 Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Indore, Madhya Pradesh, India.

12.3 Arbitration

For disputes where the amount claimed exceeds ₹1,00,000, either party may request binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English or Hindi in Indore, with a single arbitrator mutually agreed upon by both parties.
